GCA Altium advises WIRmachenDRUCK on its sale to Cimpress
GCA Altium acted as exclusive financial adviser to the shareholders of WIRmachenDRUCK, a leading German web-to-print eCommerce business, on its sale to Cimpress N.V. (Nasdaq: CMPR, market capitalization of over € 2.4bn). Cimpress will acquire 100 percent of the shares of WIRmachenDRUCK for a transaction value of €180 million, which includes an earn-out of up to €40 million dependent on future performance. This is GCA Altium’s fourth industry changing transaction within the past three years, following the sales of Onlineprinters/DieDruckerei (Germany, 2013), Pixartprinting (Italy, 2014) and Exaprint (France, 2015). For GCA Altium’s Online and Technology practice, this marks the 27th transaction in 2015.
WIRmachenDRUCK, based in Backnang, Germany, is the fastest growing web-to-print eCommerce business in Europe. Since 2008, the Company offers customized products to graphic designers and print resellers, including traditional printed materials and a wide range of promotional products. The Company has established an innovative production concept with a wide network of external printing partners, which allows WIRmachenDRUCK to outsource its production and to offer its customers a massive selection of products and finishing options.
“We are excited to welcome WIRmachenDRUCK’s team members, suppliers and customers to Cimpress,” said Robert Keane, President and Chief Executive Officer of Cimpress. “We expect this acquisition to strengthen Cimpress’ mass customization platform and our ability to serve German customers. WIRmachenDRUCK has impressive internet-based capabilities that aggregate and route large numbers of small orders to a network of specialized production partners. Their outsourced supply chain model allows them to be highly competitive across a vast selection of product types, formats, sizes, finishing options and delivery choices.”
Tobias Schultheiss, Managing Director at GCA Altium, added: “WIRmachenDRUCK has found the ideal partner in Cimpress to accelerate growth across Europe. The Company has developed an asset-light business model with a wide network of printing partners, which is unique in the industry and will help Cimpress to further grow its global mass-customization platform.”
Closing of the transaction is subject to various closing conditions, and is expected to take place during the 1st quarter of 2016.
